Welcome to Tonechaser!
These Terms and Conditions (“Terms”) govern your access to and use of the Tonechaser iOS application, website, and related services (collectively, the “Services”) operated by M3D Experiences (“we,” “us,” “our”).
By using our Services, you agree to these Terms. If you do not agree, you must discontinue use immediately.

1. Scope of the Services
Tonechaser provides tools for musicians to manage and document gear, tones, and creative ideas, and a marketplace (“Backstage”) for users, retailers, and manufacturers (“RMs”) to post and browse listings.
Tonechaser operates globally but is administered from the United States.

2. Eligibility
You must be at least 18 years old to use the Services.
By using Tonechaser, you confirm that you are legally capable of entering into binding contracts.

3. Accounts and Access
• App Users: You may access the app using your Apple ID. Apple authentication data is used solely for secure identification.
• RMs / Website Users: Retailers and manufacturers create or submit listings through forms hosted on tonechaser.app.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• We may suspend or terminate your account if you violate these Terms or applicable law.

4. Acceptable Use
You agree not to:
• Upload, post, or share false, misleading, or infringing content.
• Use the Services for illegal, fraudulent, or deceptive purposes.
• Interfere with or disrupt servers, networks, or security mechanisms.
• Reverse-engineer, scrape, or attempt unauthorized access to any system or data.
• Circumvent usage limits or automate activity without our consent.
Violation of these rules may result in suspension, deletion, or legal action.

5. Listings and User Content
• You retain ownership of the content you submit (e.g., gear listings, messages, images, recordings).
• By submitting content, you grant Tonechaser a worldwide, non-exclusive, royalty-free license to host, display, and distribute your content solely for providing the Services.
• You represent that you have all necessary rights to submit such content and that it does not infringe any third-party rights.
• We may remove or disable access to any content that violates these Terms or our policies, at our sole discretion.

6. Retailer and Manufacturer Submissions
• RMs submitting listings or partner deals through the website must ensure all product data is accurate and lawful for sale or promotion.
• Listings submitted through Gravity Forms are transmitted securely to Apple CloudKit via our Node.js connector and may be published within the Backstage marketplace.
• Tonechaser does not guarantee any specific visibility, sales outcome, or promotional placement.
• Partner Deal placements are time-limited promotional opportunities governed by separate sponsorship terms.

7. Payments and Subscriptions
• In-app purchases and subscriptions are processed through Apple App Store and managed by RevenueCat.
• Web-based partner programs or promotions may be invoiced separately to RMs through authorized payment processors (e.g., Stripe).
• Prices are displayed in the applicable currency and may include taxes where required.
• Subscriptions renew automatically unless canceled through your Apple ID account settings.

8. Intellectual Property
All Tonechaser trademarks, logos, designs, text, graphics, software, and other materials (collectively, “Tonechaser Content”) are the exclusive property of M3D Experiences or its licensors.
You may not use, reproduce, or distribute Tonechaser Content without written consent.

9. Third-Party Services
Our Services integrate with third-party systems including:
• Apple CloudKit (data storage and synchronization)
• Apple Sign In (authentication)
• RevenueCat (subscription management)
• WordPress and Gravity Forms (data collection for RMs)
Use of these services is governed by their respective privacy and terms policies.
Tonechaser is not responsible for third-party actions or availability.

10. Termination
We may suspend or terminate your account or access at any time:
• For violation of these Terms
• For suspected fraud or illegal activity
• To comply with legal requirements
Upon termination, your right to use the Services ceases immediately.
You may request data export or deletion as described in our Privacy Policy.

11. Disclaimer of Warranties
The Services are provided “as is” and “as available.”
We make no warranties, express or implied, regarding availability, accuracy, reliability, or suitability for a particular purpose.
Tonechaser is not responsible for interruptions, data loss, or errors resulting from external systems, user devices, or Apple infrastructure.

12. Limitation of Liability
To the maximum extent permitted by law:
• Tonechaser shall not be liable for indirect, incidental, or consequential damages.
• Our total liability arising from or related to your use of the Services will not exceed the amount you paid (if any) within the past 12 months.
Some jurisdictions do not allow limitation of liability, so these limits may not apply to you.

13. Indemnification
You agree to indemnify and hold harmless M3D Experiences, its officers, employees, and partners from any claims, damages, or expenses arising out of:
• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights

14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law principles.
Disputes will be resolved through binding arbitration in Michigan, unless prohibited by law.
You waive the right to a class action or jury trial.

We may update these Terms periodically.
Updates will be posted at tonechaser.app/terms with the revised “Last updated” date.
Continued use of the Services after changes become effective constitutes acceptance.
